STATEMENT OF RIGHTS AND RESPONSIBILITIES (TERMS AND CONDITIONS)
This Statement of Rights and Responsibilities ("Statement") derives from the Global Farmers Register Principles, and governs our relationship with users and others who interact with Global Farmers Register. By using or accessing Global Farmers Register, you agree to this Statement.
1) Privacy
Your privacy is very important to us. We designed our Privacy Policy to make important disclosures about how you can use Global Farmers Register to share with others and how we collect and can use your content and information. We advise you to upload information strictly on a “need to know basis” bearing in mind this is a business networking site and your information is available to as many agri-business interests as possible. We try to give your business as much visibility as possible; this we believe is in the interest of your company growth. Understanding this will help you to make informed decisions. However, we understand that some information can be detrimental to safety; such information can be made confidential by making use of the privacy settings on your profile.
2) Sharing Your Content and Information
You own all of the content and information you post on Global Farmers Register, and you can control how it is shared. In addition:
a) For content that is covered by intellectual property rights, like photos and videos or any other such contents ("IP content"), you specifically grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with Global Farmers Register. This IP License ends when you delete your IP content or your account unless your content has been shared with others, and they have not deleted it.
b) When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time.
c) When you use an application, your content and information is shared with the application. We ensure applications respect your privacy, however, your agreement with that application will control how the application can use, store, and transfer that content and information.
d) When you publish content or information, it means that you are allowing everyone, including people off of Global Farmers Register, to access and use that information, and to associate it with you (i.e., your name and profile picture).
e) We always appreciate your feedback or other suggestions about Global Farmers Register, but you understand that we may use them without any obligation to compensate you for them (just as you have no obligation to offer them).
3) Safety
We do our best to keep Global Farmers Register safe, but we cannot guarantee it. We need your help to do that, which includes the following commitments:
a) You will not send or otherwise post unauthorized commercial communications (such as spam) on Global Farmers Register.
b) You will not collect users' content or information, or otherwise access Global Farmers Register, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.
c) You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on Global Farmers Register.
d) You will not upload viruses or other malicious code.
e) You will not solicit login information or access an account belonging to someone else.
f) You will not bully, intimidate, or harass any user.
g) You will not post content that: is hateful, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
h) You will not develop or operate a third-party application containing alcohol-related or other mature content (including advertisements) without appropriate age-based restrictions.
i) You will not offer any contest, giveaway, or sweepstakes ("promotion") on Global Farmers Register without our prior written consent. If we consent, you take full responsibility for the promotion, and will follow our Promotions Guidelines and all applicable laws.
j) You will not use Global Farmers Register to do anything unlawful, misleading, malicious, or discriminatory.
k) You will not do anything that could disable, overburden, or impair the proper working of Global Farmers Register, such as a denial of service attack.
l) You will not facilitate or encourage any violations of this Statement.
m) We will not accept liability or payment claims for any Business Transaction(s) done outside the Global Farmers Register without our knowledge.
4) Registration and Account Security
Global Farmers Register users provide their real names and information, and we need your help to keep it that way. Here are some commitments you make to us relating to registering and maintaining the security of your account:
a) You will not provide any false personal information on Global Farmers Register, or create an account for anyone other than yourself without permission.
b) You will not create more than one personal profile.
c) If we disable your account, you will not create another one without our permission.
d) You will not use Global Farmers Register if you are under 13.
e) You will not use Global Farmers Register if you are a convicted criminal or fraudulent person.
f) You will keep your contact information accurate and up-to-date.
g) You will not share your password, (or in the case of developers, your secret key), let anyone else access your account, or do anything else that might jeopardize the security of your account.
h) You will not transfer your account (including any page or application you administer) to anyone without first getting our written permission.
i) If you select a username for your account we reserve the right to remove or reclaim it if we believe appropriate (such as when a trademark owner complains about a username that does not closely relate to a user's actual name).
5) Protecting Other People's Rights
We respect other people's rights, and expect you to do the same.
a) You will not post content or take any action on Global Farmers Register that infringes or violates someone else's rights or otherwise violates the law.
b) We can remove any content or information you post on Global Farmers Register if we believe that it violates this Statement.
c) Please report any violation of your intellectual property rights.
d) If we remove your content for infringing someone else's copyright, and you believe we removed it by mistake, we will provide you with an opportunity to appeal. Just visit the contact us page and send us a written appeal.
e) If you repeatedly infringe other people's intellectual property rights, we will disable your account when appropriate.
f) You will not use our copyrights or trademarks (including Global Farmers Register, the Global Farmers Register Logos, or any confusingly similar marks, without our written permission.
g) If you collect information from users, you will: obtain their consent, make it clear you (and not Global Farmers Register) are the one collecting their information, and post a privacy policy explaining what information you collect and how you will use it.
h) You will not post anyone's identification documents or sensitive financial information on Global Farmers Register.
i) You will not send email invitations to non-users without their consent.
j) You will not de-fraud or attempt to defraud any users on Global Farmers Register.
k) You will not engage in any business transactions with other Global Farmers Register users outside the Global Farmers Register site. This is against our safety policy and we will not be responsible for any negative outcomes. Our business strategy is designed to keep you safe from fraudsters.
6) Payments
All payments to Global Farmers Register are made through our payment platform vendors www.2checkout.com . We guarantee safety of your payments to via this medium. We do not concern ourselves about payments between users/members and we will not guarantee any member or user. Please ensure you know any user/member very well and have physical contact before exchanging cash/payment. We advice you use our interbank transactions in the case you are transacting business across borders.
7) Special Provisions Applicable to Share Links
If you share our site link on your website, the following additional terms apply to you:
a) We give you permission to use Global Farmers Register's Share Link button so that users can post links or content from your website on Global Farmers Register.
b) You give us permission to use and allow others to use such links and content on Global Farmers Register.
c) You will not place a Share Link button on any page containing content that would violate this Statement if posted on Global Farmers Register.
8) Special Provisions Applicable to Developers/Operators of Applications and Websites
If you are a developer or operator of a Platform application or website, the following additional terms apply to you:
a) You are responsible for your application and its content and all uses you make of your Platform. This includes ensuring your application or use of Platform is not in violation of our Global Farmers Register statement and our Advertising Guidelines.
b) Your access to and use of data you receive from Global Farmers Register, will be limited as follows:
i) You will only request data you need to operate your application.
ii) You will have a privacy policy that tells users what user data you are going to use and how you will use, display, share, or transfer that data and you will include your privacy policy URL on the Global Farmers Register page provided for you after you have received our consent.
iii) You will not use, display, share, or transfer a user’s data in a manner inconsistent with your privacy policy.
iv) You will delete all data you receive from us concerning a user if the user asks you to do so, and will provide a mechanism for users to make such a request.
v) You will not include data you receive from us concerning a user in any advertising creative.
vi) You will not directly or indirectly transfer any data you receive from us to (or use such data in connection with) any ad network, ad exchange, data broker, or other advertising related toolset, even if a user consents to that transfer or use.
vii) You will not sell user data. If you are acquired by or merge with a third party, you can continue to use user data within your application, but you cannot transfer user data outside of your application.
viii) We can require you to delete user data if you use it in a way that we determine is inconsistent with users’ expectations.
ix) We can limit your access to data.
x) You will comply with all other restrictions we subject you to.
c) You will not give us information that you independently collect from a user or a user's content without that user's consent.
d) You will make it easy for users to remove or disconnect from your application.
e) You will make it easy for users to contact you. We can also share your email address with users and others claiming that you have infringed or otherwise violated their rights.
f) You will provide customer support for your application.
g) You will not show third party ads or web search boxes on Global Farmers Register.
h) We give you all rights necessary to use the code, APIs, data, and tools you receive from us (except we otherwise restrict certain ones).
i) You will not sell, transfer, or sublicense our code, APIs, or tools to anyone.
j) You will not misrepresent your relationship with Global Farmers Register to others.
k) You may use the logos we make available to developers or issue a press release or other public statement so long as you obtain prior permission from us to do so.
l) We can issue a press release describing our relationship with you.
m) You will comply with all applicable laws. In particular you will (if applicable):
i) have a policy for removing infringing content and terminating repeat infringers that complies with the Copyright Laws of your geographic location which will be verified by us.
ii) obtain any opt-in consent necessary from users so that user data subject to their privacy protection may be shared on Global Farmers Register. You represent that any disclosure to us will not be incidental to the ordinary course of your business.
n) We do not guarantee that Platform will be free, and prices may change from time to time.
o) You give us all rights necessary to enable your application to work with Global Farmers Register, including the right to incorporate content and information you provide to us into streams, profiles, and user stories.
p) You give us the right to link to or frame your application, and place content, including ads, around your application.
q) We can analyze your application, content, and data for any purpose, including commercial (such as for targeting the delivery of advertisements and indexing content for search).
r) To ensure your application is safe for users, we can audit it.
s) We can create applications that offer similar features and services to, or otherwise compete with, your application.
9) About Advertisements and Other Commercial Content Served or Enhanced by Global Farmers Register
Our goal is to deliver ads that are not only valuable to advertisers, but also valuable to you. In order to do that, you agree to the following:
a) You accept to associate your name and profile picture with commercial, sponsored, or related content (such as a brand you like) served or enhanced by us. You give us permission to use your name and profile picture in connection with that content, if there is need to.
b) We do not give your content or information to advertisers without your consent (except that which you have already uploaded for general viewing).
c) You understand that we may not always identify paid services and communications as such.
10) Special Provisions Applicable to Advertisers
You can target your specific audience by buying ads on Global Farmers Register or our publisher network. The following additional terms apply to you if you want to place an advert on our site:
a) When you place an Order, you will tell us the type of advertising you want to buy. If we accept your Order, we will deliver your ads as inventory becomes available. When serving your ad, we do our best to deliver the ads to all the audience on the Global Farmers Register, although we cannot guarantee in every instance that your ad will reach its intended target.
b) In instances where we believe doing so will enhance the effectiveness of your advertising campaign, we may broaden the targeting criteria as an extra incentive.
c) You will pay for your Orders before they are uploaded. The amount you will pay will be sent to you by email as you will view our Advertising Cadre document.
d) Your ads will comply with our Advertising Guidelines.
e) We will determine the size, placement, and positioning of your ads, according to what you have paid for.
f) We do not guarantee the activity that your ads will receive, such as the number of clicks you will get.
g) We cannot control how people interact with your ads, and are not responsible for click fraud or other improper actions that affect the cost of running ads. We do, however, have systems to detect and filter certain suspicious activity.
h) You cannot cancel your Order once the advert is running, but you can cancel 24 hours before it is scheduled to be uploaded. You are responsible for paying for those ads.
i) Our license to run your ad will end when we have completed your Order. You understand, however, that if users have interacted with your ad, your ad may remain until the users delete it.
j) We can use your ads and related content and information for marketing or promotional purposes.
k) You will not issue any press release or make public statements about your relationship with Global Farmers Register without written permission.
l) We may reject or remove any ad for any reason.
m) If you are placing ads on someone else's behalf, we need to make sure you have permission to place those ads, including the following:
i) Your legal authority to bind the advertiser to this Statement.
ii) You agree that if the advertiser you represent violates this Statement, we may hold you responsible for that violation.
11) Amendments
a) We can change this Statement without prior notice. However, we may email you the change, to give you and an opportunity to comment. To get notice of any future changes to this Statement, please read all emails received from us.
b) For changes to sections relating to payments, application developers, website operators, and advertisers, if we give notice, we will give you a minimum of three days notice. For all other changes, if we give notice, we will give you a minimum of seven days notice. All your comments must be made to us by email.
c) If more than 1,000 users comment on the proposed change, we will also give you the opportunity to participate in a vote in which you will be provided alternatives. The vote shall be binding on us in favour of more than 30% of all active registered users, as of the date of the notice vote.
d) We can make changes for legal or administrative reasons, or to correct an inaccurate statement, without notice and without opportunity to comment.
12) Termination
If you violate the letter or spirit of this Statement, or otherwise create risk or possible legal exposure for us, especially committing fraudulent crimes; we can stop providing all or part of Global Farmers Register to you. We will notify you by email or at the next time you attempt to access your account. You may also delete your account or disable your application at any time by sending us an email. We may ask you to partake in our member disengagement survey (not compulsory) to help us serve other members better, or even you at a later date if you choose to use The Global Farmers Register again. In all such cases, this Statement shall terminate, but all specific provisions that protect the Global Farmers Register from accepting liability for any of your actions (legal or illegal) either online or offline still apply.
13) Disputes
a) You will resolve any claim, cause of action or dispute ("claim") you have with us arising out of or relating to this Statement or Global Farmers Register exclusively in a state or federal court located in the Federal Republic of Nigeria. The laws of the Federal Republic of Nigeria will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in the Federal Republic of Nigeria for the purpose of litigating all such claims.
b) If anyone brings a claim against us related to your actions, content or information on Global Farmers Register, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
c) WE TRY TO KEEP GLOBAL FARMERS REGISTER UP, BUG-FREE, AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING GLOBAL FARMERS REGISTER "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT GLOBAL FARMERS REGISTER WILL BE SAFE OR SECURE. GLOBAL FARMERS REGISTER IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS STATEMENT OR GLOBAL FARMERS REGISTER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR GLOBAL FARMERS REGISTER WILL NOT EXCEED THE GREATER OF TWENTY THOUSAND NAIRA (N 20,000) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, GLOBAL FARMERS REGISTER'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
14) Special Provisions Applicable to Users Outside Nigeria
We strive to create a global community with consistent standards for everyone, but we also strive to respect local laws. The following provisions apply to users outside Nigeria:
a) You consent to having your personal data transferred to and processed in Nigeria.
b) If you are located in a country embargoed by the Nigeria, or are on any “wanted criminal” list in your region or location or even globally, you will not engage in commercial activities on Global Farmers Register (such as advertising, payments, time-line matrix, or global market place transactions) or operate a Platform application or website.
15) Definitions
a) By "Global Farmers Register" we mean the features and services we make available, including through (a) our website at www.Globalfarmersregister.com and any other Global Farmers Register branded or co-branded websites (including sub-domains, international versions, widgets, and mobile versions when we eventually develop them); (b) our Platform; (c) social plugins and other similar offerings and (d) other media, software (such as a toolbar), devices, or networks now existing or later developed.
b) By "Platform" we mean a set of APIs and services that enable others, including application developers and website operators, to retrieve data from Global Farmers Register or provide data to us.
c) By "information" we mean facts and other information about you, including actions you take.
d) By "content" we mean anything you post on Global Farmers Register that “has” and “has not” been included in the definition of "information."
e) By "data" we mean content and information that third parties can retrieve from Global Farmers Register or provide to Global Farmers Register through Platform.
f) By "post" we mean anything posted or updated on Global Farmers Register or otherwise made available to us (such as by using an application).
g) By "use" we mean use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of.
h) By "active registered user" we mean a user who has logged into Global Farmers Register at least once in the previous 30 days.
i) By "application" we mean any application or website that uses or accesses Platform, as well as anything else that receives or has received data from us. If you no longer access Platform but have not deleted all data from us, the term application will apply until you delete the data.
16) Other
a) If you are a resident of or have your principal place of business in Nigeria, this Statement is an agreement between you and Frebay International Company Limited. For those outside Nigeria, this Statement is also an agreement between you and Frebay International Company Limited. References to “us,” “we,” and “our” mean Frebay International Company Limited, and will be used as appropriate.
b) This Statement makes up the entire agreement between the parties regarding Global Farmers Register, and supersedes any prior agreements.
c) If any portion of this Statement is found to be unenforceable, the remaining portion will remain in full force and effect.
d) If we fail to enforce any of this Statement, it will not be considered a waiver.
e) Any amendment to or waiver of this Statement must be made in writing and signed by us.
f) You will not transfer any of your rights or obligations under this Statement to anyone else without our consent.
g) All of our rights and obligations under this Statement are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
h) Nothing in this Statement shall prevent us from complying with the law.
i) This Statement does not confer any third party beneficiary rights.
j) You will comply with all applicable laws when using or accessing Global Farmers Register.
